Below is a reference guide for transaction codes used in SEC filings.

Code Transaction Type Description
A Grant, award, or other acquisition Acquiring securities from the company, such as through an employee benefit plan.
D Sale or transfer to company Selling or transferring securities back to the company.
F Payment Using a portion of securities to pay the exercise price or tax liability.
G Gift A bona fide gift of securities, either by or to the insider.
K Equity swaps Engaging in equity swaps or similar hedging transactions.
M Exercise or conversion of derivative security Exercising a derivative security like a stock option.
P Purchase Purchasing securities, either on an exchange or through a private transaction.
S Sale Selling securities on an exchange or to another person.
V Voluntary report A transaction that is voluntarily reported on Form 4.
J Other transactions Other types of transactions that require a footnote to describe them.
